Access to americochemical.com, transactions by a customer, the “Customer,” of Americo Chemical Products Incorporated, “Americo Chemical,” through americochemical.com, and all related disputes, either commercial or private or otherwise, are governed by the terms and conditions contained in these Terms of Use, as amended from time to time by Americo Chemical without prior notice. The Customer should ensure they have reviewed the latest version each time they access or transact business through americochemical.com.

Intellectual Property Rights

All material on americochemical.com is provided for lawful purposes only. Americo Chemical reserves complete title and full intellectual property rights for materials downloaded from the site.

Copyright

All content included on americochemical.com, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of americochemical.com or its content suppliers and protected by United States and international copyright laws. Compiling all content on americochemical.com is the exclusive property of americochemical.com and is protected by U.S. and international copyright laws.

Trademark

americochemical.com; Americo Chemical; Americo Chemical Products Incorporated; and the design service mark; graphics, logos, page headers, button icons, scripts, and service names accessible through americochemical.com; and other marks indicated or viewable through americochemical.com are trademarks of Americo Chemical in the United States (“Americo Chemical Trademarks”). Americo Chemical trademarks may not be used in connection with any product or service that is not Americo Chemical’s, in any manner likely to confuse customers, or in any manner that disparages or discredits Americo Chemical or its subsidiaries. All other trademarks not owned by Americo Chemical or its subsidiaries that appear on americochemical.com are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Americo Chemical or its subsidiaries.

Submissions By Customer

Subject to the americochemical.com Privacy Policy, any information, including but not limited to information, remarks, suggestions, ideas, custom graphics, or other submissions (collectively or individually, “Submission”), communicated to Americo Chemical through americochemical.com is the exclusive property of Americo Chemical. Americo Chemical is entitled to use any Submission for any purpose without restriction or compensation to the person sending the Submission.

The user acknowledges the originality of any Submission communicated to Americo Chemical and accepts responsibility for its accuracy, appropriateness and legality. The user agrees to protect, defend, indemnify, and hold Americo Chemical and its parent, affiliates, officers, directors, attorneys, and employees harmless from and against any and all claims, liabilities, losses, costs and expenses, alleged or actual, arising out of any claim for infringement, dilution, unfair competition, or any other claim relating to any such Submission.

License and Site Access

americochemical.com grants the Customer a limited, revocable, non-exclusive license to access and make personal use of americochemical.com and not to download (other than page caching) or modify it, or any portion of it, except with prior express written consent of Americo Chemical. This license does not include any resale or commercial use of americochemical.com or its contents; any collection and commercial use of any real estate listings, descriptions, or prices; any derivative use of americochemical.com or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. americochemical.com or any portion of americochemical.com may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without prior express written consent of americochemical.com.

The Customer may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Americo Chemical or its affiliates without prior express written consent of Americo Chemical.

A Customer may not use any meta tags or any other “hidden text” utilizing Americo Chemical’s name or the Americo Chemical Trademarks without the prior express written consent of Americo Chemical.

In addition to any other right or remedy available to Americo Chemical or its affiliated companies, any unauthorized use terminates the permission or license granted by Americo Chemical.

A Customer is granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of americochemical.com so long as the link does not portray Americo Chemical, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive matter, and so long as the Customer denotes that there is no affiliation, partnership, joint venture, or any similar relationship between Customer and Americo Chemical that should be implied from use of the hyperlink. A Customer may not use any Americo Chemical Trademark as part of the link without prior express written consent.

Restrictions on Liability

Americo Chemical is not responsible for technical, hardware or software failures of any kind; lost or unavailable network connections; and/or incomplete, garbled, or delayed computer transmissions. Americo Chemical does not guarantee that this website will be virus-free. Under no circumstances will Americo Chemical or its suppliers be liable for any damages or injury that result from the use of the materials on this site or the products purchased by the customer from this site. Some jurisdictions prohibit the exclusion or limitation of liability for consequential or incidental damages, in which case the above limitation may not apply to certain customers.

Americo Chemical links other sites not maintained by Americo Chemical (the “linked sites”). Americo Chemical does not endorse the linked sites and is not responsible for the content of the linked sites. The linked sites include, but are not limited to, sites offering goods, services, or information related to mortgage calculators, mortgage lenders, utilities, lawn care, voter registration, park districts, post offices, schools, health services, worship, taxes, cable television, car services, and restaurants. Americo Chemical is not obligated to continue providing access to such linked sites, verify the content’s accuracy at such linked sites, and/or investigate the business practices of entities providing the linked sites.

All the materials on this site, including but not limited to the linked sites, are provided “as is” and without warranties of any kind to the fullest extent permissible pursuant to applicable laws, including but not limited to the warranty of merchantability and the warranty of fitness for any particular purposes. Product and Service Descriptions

Americo Chemical and its affiliates attempt to be as accurate as possible. However, Americo Chemical does not warrant that this site’s product or service descriptions or other content are accurate, complete, reliable, current, or error-free.

Confidentiality; Privacy Policy; Children

The Customer is responsible for maintaining the confidentiality of their account and password and restricting access to their computer. The Customer agrees to accept responsibility for all activities that occur under their account or password.

americochemical.com does not provide information for children or sell products or services for purchase by children. We do not sell children’s products for purchase by adults. If you have accessed this site and are under 18, you may only use americochemical.com with the involvement of your parent or guardian.

Americo Chemical and its affiliates reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion. Governing Law; Disputes; Severability

These Terms of Use and any disputes arising hereunder are governed and interpreted exclusively pursuant to the laws of the State of Illinois, United States of America, notwithstanding any principles of conflicts of law.

The Federal or State courts located in Cook County, Illinois, shall have exclusive jurisdiction over any disputes and shall serve as the exclusive venue for any proceedings related to any such disputes hereunder. By accessing this website, Customer submits itself to the jurisdiction of the courts located in Cook County, Illinois, and hereby waives any objection to personal or subject matter jurisdiction.

To the fullest extent permitted by applicable law, no proceeding under this Agreement shall be joined to another proceeding involving any other party subject to these Terms of Use, whether through class action proceedings or otherwise. If any of these Terms of Use shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition
